Terms of Service

Seaton Management Group LLC
Effective Date: October 19, 2026

These Terms of Service (“Terms”) govern your access to and use of the websites, courses, coaching, memberships, digital products, communities, and related services offered by Seaton Management Group LLC, a Florida limited liability company (“Company,” “we,” “us,” or “our”), collectively referred to as the “Services.”

Please read these Terms before purchasing or using our Services. When presented with these Terms during checkout or registration, selecting the acceptance checkbox or completing another clearly identified acceptance action constitutes your agreement to them.

1. Eligibility and Accounts

You must be at least 18 years old and legally able to enter into a binding agreement to purchase our Services.

You agree to provide accurate registration and billing information and keep that information current. You are responsible for safeguarding your login credentials and notifying us promptly of any unauthorized account access.

Unless your purchase expressly includes multiple users, access is for one individual. You may not share, sell, or transfer your account.

If you purchase on behalf of a business, you represent that you have authority to bind that business to the applicable purchase terms.

2. Services and Purchase Terms

The description provided at the time of purchase identifies the products or services included in your purchase, along with any access period, coaching schedule, support, or other benefits.

Specific written terms presented and accepted at checkout, or contained in a separately signed agreement, control over these general Terms where they address the same subject differently.

Purchasing one product or program does not include access to other products, future programs, private coaching, or additional services unless expressly stated.

3. Educational Purpose and Results

Our Services provide sales education, training, coaching, and professional development. They do not constitute legal, tax, financial, medical, or mental health advice.

You are responsible for your business decisions, sales practices, and implementation of the material.

We do not guarantee any particular income, revenue, closing rate, employment opportunity, client acquisition result, or other business outcome. Results depend on factors including your experience, effort, implementation, offer, market, and business circumstances.

Testimonials and examples describe individual experiences and do not promise that you will achieve the same results. This section does not limit an express refund or satisfaction guarantee offered with your purchase.

4. Prices and Payments

Prices, currency, payment schedules, and applicable taxes will be identified during checkout or in your written agreement.

You authorize us and our payment processors to charge the payment method you provide for the amounts you expressly agree to pay.

An installment plan divides the price of a purchase into scheduled payments. It is not a cancellable subscription unless the purchase terms expressly say otherwise. Stopping participation does not automatically cancel an agreed installment obligation, subject to applicable refund terms and legal rights.

If a payment fails, we may contact you to update your payment information and temporarily suspend paid access while the payment remains unresolved. We will not impose undisclosed late fees.

Nothing in these Terms restricts your right to dispute an unauthorized or incorrect charge.

5. Subscriptions, Renewals, and Cancellation

This section applies only when you expressly enroll in a recurring subscription or membership.

Before enrollment, we will disclose the recurring price, billing frequency, any minimum commitment, and how to cancel. Recurring charges require your affirmative consent.

Unless your purchase terms state otherwise, your subscription renews for successive billing periods until canceled.

You may cancel using [insert cancellation method or account link]. You may also request cancellation assistance at [email protected].

Cancellation stops future renewals. Unless otherwise disclosed at purchase, access continues through the end of the paid billing period.

Any trial offer will disclose its duration, the amount and timing of charges after the trial, and how to cancel before being charged.

We will provide any legally required notice of renewal or price changes and obtain additional consent where required.

6. Refunds and Guarantees

The refund policy and any guarantee disclosed for your specific purchase apply to that purchase. We will honor those terms and any refund rights required by law.

To request a refund, contact [email protected] with your name, purchase email address, order details, and the basis for your request.

We will not add eligibility conditions after purchase that were not disclosed when you purchased.

Subscription cancellation and refund requests are separate actions. Canceling a subscription does not automatically request a refund for an earlier charge.

7. Access and Availability

Your access period is the period stated at purchase. Downloadable materials may be retained for your permitted use, subject to these Terms.

You are responsible for having a suitable device, internet connection, and any software identified as necessary to use the Services.

We may perform maintenance, correct errors, and update the Services. If we discontinue a paid Service before completing our agreed obligations, we will provide an appropriate remedy consistent with the purchase terms and applicable law, which may include replacement access or a refund for the undelivered portion.

8. Intellectual Property and Permitted Use

The Services and their original materials, including videos, lessons, frameworks, worksheets, graphics, and written content, are owned by the Company or its licensors and protected by intellectual property laws.

Your purchase grants you a limited, nonexclusive, nontransferable license to access and use the purchased materials for your own learning and application in your sales work or business.

You may apply what you learn in your own sales conversations. You may not, without prior written permission:

  • Share course access or distribute protected materials.
  • Resell, sublicense, publish, or commercially reproduce our materials.
  • Use our protected materials to create or deliver a competing training product.
  • Remove copyright, trademark, or ownership notices.
  • Upload our protected materials into a shared database or AI system for model training, redistribution, or access by others.

These restrictions do not prohibit uses permitted by law or restrict your use of general knowledge and skills acquired through training.

9. Community Conduct

You agree to use the Services lawfully and respectfully.

You may not harass, threaten, discriminate against, impersonate, or defraud others; distribute unlawful content; interfere with the Services; or collect other participants’ information for unauthorized marketing.

You may not record, reproduce, or distribute private sessions, member posts, or participant information without the necessary permission.

We may moderate content and restrict access for violations, following the suspension and termination provisions below.

10. Submitted Content and Call Recordings

You retain ownership of content you submit, including questions, assignments, recordings, and business examples.

You grant us permission to use that content only as reasonably necessary to provide the Services, review your work, deliver feedback, and administer your participation. Public promotional use requires separate permission.

Before submitting a recording, transcript, or other third-party information, you must obtain all legally required permissions and remove confidential or personal information that is unnecessary for the training purpose.

Do not submit information you are prohibited from sharing by law, contract, or a duty of confidentiality.

If a session will be recorded, we will provide notice and obtain any required consent. Recording access and use will follow the disclosures made for that session. Participation alone does not grant us permission to use your name, image, voice, or results in advertising.

11. Privacy and Communications

Our Privacy Policy explains how we collect, use, and disclose personal information.

We may send account, billing, access, scheduling, and other service-related communications.

Marketing emails and text messages are subject to separate disclosures and any required consent. Agreeing to these Terms does not by itself constitute consent to receive marketing text messages. You may unsubscribe from marketing communications using the instructions provided.

12. Third-Party Services

The Services may use or link to third-party platforms, payment processors, or tools. Your use of those third-party services may also be subject to their terms and privacy policies.

We do not control independent third-party websites or services. This section does not excuse our own obligations to deliver the Services you purchased.

13. Suspension and Termination

We may suspend or terminate access for a material violation of these Terms, unlawful conduct, unauthorized distribution of materials, or unresolved nonpayment.

Where reasonable, we will notify you of the issue and provide an opportunity to resolve it. Immediate suspension may be necessary to address fraud, security threats, unlawful activity, or harm to others.

Termination does not automatically eliminate accrued payment obligations or refund rights. We will honor applicable purchase terms and rights required by law.

14. Warranties and Liability

We will provide the Services in accordance with the descriptions and express commitments made for your purchase. We do not warrant uninterrupted access or any particular business outcome.

You remain responsible for your independent business decisions and lawful use of the training.

We do not accept responsibility for speculative earnings, lost opportunities, or business losses attributable to your independent decisions or circumstances outside our reasonable control.

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence, or any liability that cannot lawfully be excluded or limited. Nothing waives rights or remedies available under the New Jersey Consumer Fraud Act, the New Jersey Truth-in-Consumer Contract, Warranty and Notice Act, or other applicable consumer protection laws.

15. Governing Law and Disputes

New Jersey law governs these Terms, subject to any mandatory protections available under the law applicable to you.

If a concern arises, please contact [email protected] so we can attempt to resolve it. Contacting us first is encouraged but is not a condition of exercising your legal rights.

Unless applicable law requires otherwise, disputes may be brought in a state or federal court with jurisdiction in New Jersey. This provision does not prevent you from bringing an eligible claim in small claims court or using another forum required by applicable law.

16. Changes to These Terms

We may update these Terms and will identify the effective date of the revised version.

Changes will apply prospectively. We will provide notice of material changes affecting an ongoing paid relationship and obtain agreement where required. Updates will not retroactively reduce a purchased guarantee, increase an agreed fixed purchase price, or remove accrued legal rights.

17. General Provisions

These Terms, together with the applicable purchase terms and any separately signed agreement, form the agreement concerning the Services.

If a court finds a provision invalid, the remaining provisions will continue in effect to the extent legally permitted. A failure to enforce a provision on one occasion does not waive the right to enforce it later.
